PPP “On A Cloud” Remix Competition
Official Rules & Conditions.
Winner will have thier remix officially released on an upcoming PPP single and will recieve a Ubiquity prize pack consisting of t-shirts, music, accessories and whatever else we can find for you in the warehouse.
Submit your Remix as an MP3 (192 Kbps bitrate only) to pppremix@ubiquityrecords.com. We will not be able to reply to every entrant, so, in order to track and guarantee delivery of your entry send your remix via yousendit, megaupload, or any other site you use to download our stuff (jokes). All entries must include your full name, street address, age, and telephone number. Before all that -- Our lawyer says we have to make each and every one of you aware of these rules for the Contest and said you need to please read them before you submit your mix.
This is a contest to pick the best remix. What is the best remix? Well, the best will be the one we like the most based upon our years of experience putting out records, and also by what the band liked. We will use objective criteria and the winner will not be picked by random or by votes of site visitors.
Much of what follows is the same stuff we make every remixer that we hire sign so you are in good company by agreeing to all of this.
By submitting a mix you agree to be bound by these terms and you (the Entrant) hereby agree, confirm, represent and warrant that: 1. This contest involves a bunch of people including you, Entrant, creating remixes of the song “On A Cloud” (“the Song”) using the accapella available for digital download at all good on-line retailers, or taken from the 12” single released on Ubiquity Records. The accapella (along with the original version of the recording) is the “Master”. The remix you create is the “Remix”. For clarity’s sake, it’s OK if the Entrant wishes to sample and use any other part of the original recording of the Song (but not of any remix) in the creation of the Remix for the contest in addition to the accapella, however, we do not have any other individual parts of the song to offer you.
2. Entrant understands and agrees that the Song and Master are owned and controlled by Ubiquity Records and its publishing company (“Ubiquity”).
3. Entrant also understands and agrees that all of the rights in and to the Remix shall be the sole and absolute property of Ubiquity for any and all purposes whatsoever, in perpetuity, throughout the Universe free of any claims whatsoever by Entrant or anyone else.
4. Entrant agrees that any new elements, instrumental or vocal (lyrical) that Entrant may create and incorporate into the Remix (both the musical composition and the sound recording) are created specifically for Ubiquity as a “work-made-for-hire” under US copyright law and any rights Entrant may claim or acquire in the Remix or the Song or the Master are hereby assigned to Ubiquity throughout the World for the full life of copyright and any and all extensions and renewals thereof.
5. Entrant understands and agrees that Ubiquity shall have the right, but not the obligation, to exploit the Remix in any manner, promotionally and commercially, without notice to or additional consideration to Entrant.
6. If requested by Ubiquity, the Entrant shall complete and sign a formal assignment of copyright to give effect to the grant made in the foregoing sections 3, 4 & 5.
7. To be clear: Entrant specifically acknowledges and agrees that Ubiquity owns all rights (including copyright) in and to the Remix and everything in it, and the Master and the Song and Entrant does not acquire any copyright ownership and wont be a writer or publisher. Entrant agrees that the potential promotional value of being included on a recording of the Master shall serve as complete consideration for the referenced grants of rights.
8. Except for the Master, Entrant won’t use in creating the Remix any thing that is not the original creation of Entrant; there will be no samples (except from a properly licensed fully cleared sample library) and use of any thing owned or controlled by someone else is grounds for expulsion from the Contest.
9. To be clear: no element of the Remix will incorporate any samples which are subject to third party proprietary rights or otherwise infringe the rights of any third party.
10. The Remix is not obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or encouraging of conduct that would be considered a criminal offense, gives rise to civil liability, or violate any law.
11. By submitting the Remix the Entrant agrees to release and hold Ubiquity harmless from and against any claim or cause of action and all costs and damages arising out of the Remix, the use by Ubiquity or any other party and any breach of the representations and warranties made by the Entrant herein.
12. Ubiquity reserves the right, in its absolute discretion, to remove Remix from any website that it deems offensive or inappropriate and/or Remixes that breach any of the above terms and conditions.
13. The Winner: One winner and 2 runners-up will be chosen by Ubiquity Records and PPP and announced on the Ubiquity website on or before August 25, 2008; winner and runners-up shall also be notified by email.
14. The Prize: Ubiquity agrees that it shall commercially release the winner’s Remix in one or more formats, and, in addition Ubiquity will send the winner a collection of items selected by Ubiquity from the Ubiquity website (total cash value not to exceed $500.00).
15. The winner will be responsible for applicable taxes, including income tax, if any. The winner and each runner up may be required to execute a notarized Affidavit of Eligibility, a Liability Release, and a Publicity Release as well a more formal remixer agreement. Entry constitutes permission for Ubiquity to use the Entrant’s name, address (city, province) and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation on-line, unless prohibited by law.
16. Entrant may exploit their Remix any way they would like BUT ONLY IF used only for promotional purposes and not sold in any manner AND Entrant includes the solely following credits: “PPP “On A Cloud” remixed by (Entrant) , written by R. O’Bryant, A. Frison, J. Powell, under license from Ubiquity Records, all rights reserved.”
17. The Contest is open to US citizens 13 years or older, and of course, is void where prohibited, restricted or taxed by law.
